1. Introduction

1.1 Before signing up on the TixGambia website, you should carefully read, understand, and accept these Terms of Use ("T&C") as they will govern your use of and access to our Services. Please note that your use of and access to the Services are subject to the following terms; if you do not agree to all these terms, you may not use or access the Services in any manner.

1.2 This T&C represents an agreement between YOU and TIXGAMBIA (hereinafter referred to as "TixGambia," "We," or "Us," which expression shall, where the context so admits, include its legal representatives and assigns).

1.3 This T&C contains the terms governing your use of and access to the TixGambia website and all affiliated websites owned and operated by us (collectively, the "Platform") and our Services. "You" and "your" mean the person who uses or accesses the Services.

2. Who We Are

2.1 The Platform is operated by TixGambia, The Gambia's first online event ticketing platform. Our registered office address is in Banjul, The Gambia. Our email address is hello@tixgambia.com.

We may revise the Platform Terms of Use at any time by updating this document. You should check the Platform from time to time to review the existing T&C, as they are binding on you.

3. Purpose, Acceptance and Use

3.1 Purpose

3.1.1 This T&C and any other agreements between you and TixGambia constitute a binding contract and set out the Terms of Use on which you may use the Platform.

3.1.2 The Platform is intended solely for individuals who are 18 years old or older. Any access to or use of the Platform by anyone under 18 is unauthorized and in violation of this T&C.

3.2 Acceptance

3.2.1 By downloading, registering, accessing, and/or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by this T&C. If you do not agree with this T&C and/or our Privacy Policy, do not access or use the Platform.

3.3 Use of the TixGambia Platform

3.3.1 Your use of the Platform is governed by the version of the T&C in effect on the date that you use or access the Platform. We reserve the right to amend, change, vary, or alter the T&C at any time with or without notice to you.

4. Access to TixGambia Platform

4.1 We provide the Services electronically and allow registration for an account to access the Platform for the purpose of selling and managing tickets for events. You may register as an Event Organiser only if you are the event organizer or an authorized ticket seller.

We provide the Services to the Event Organiser and have no direct relationship with Event Attendees. Any tickets sold through TixGambia do not create a contractual relationship between us and the Event Attendee. You agree to:

• Handle all communication with your Event Attendees
• Respond to any queries from Event Attendees within 3 days
• Accept all liability in relation to the contractual relationship between you and the Event Attendee
• Notify your Event Attendees immediately if your event is cancelled, postponed, or materially changed

4.2 To enable you to create a User Profile on the Platform, we require your name, phone number, and email address. You agree that you will provide true, accurate, current, and complete registration information.

4.3 You shall be solely responsible for maintaining the confidentiality of your profile and password. You are to notify us immediately if you become aware of any unauthorized access or use of your account.

5. Prohibited Uses

You agree that you shall not:

• Use the Platform in any manner that could damage or overburden TixGambia's servers
• Use the Platform for any illegal, unlawful, or malicious activity, including but not limited to money laundering, fraud, or financing of terrorism
• Impersonate any person or entity or provide fraudulent, misleading, or inaccurate information
• Use the Platform to post or transmit material for which you have not obtained all necessary licenses
• Access or use another user's profile without permission or solicit another user's login information
• Create fake events or sell tickets for events that do not exist

6. Payments

6.1 TixGambia facilitates ticket payments through Wave mobile money and other supported payment methods available in The Gambia. All transactions are processed in Gambian Dalasi (GMD).

6.2 A platform booking fee is added to the ticket price at checkout. This fee is non-refundable.

6.3 TixGambia is not responsible for any failed transactions, delays, or errors caused by third-party payment providers including Wave, Afrimoney, or QMoney.

7. Refunds and Cancellations

7.1 If an event is cancelled by the Event Organiser, the Event Organiser is responsible for issuing refunds to ticket holders. TixGambia will facilitate the refund process where possible.

7.2 TixGambia does not guarantee refunds for events that are postponed or rescheduled. Refund policies for such events are at the discretion of the Event Organiser.

7.3 Platform booking fees are non-refundable in all circumstances.

8. Communication

You consent to us sending all notifications, notices, records, statements, communications, updates, and any other information regarding the Platform to you electronically via your registered email address.

9. Transmission of Personal Information

9.1 Your use of the Platform may involve the transmission of your personal information to third party service providers. You consent to the transmission of such information through the Platform.

9.2 The transmission, use, and analysis of your personal data shall be processed by us in accordance with the Gambia Data Protection Act and any other applicable data protection regulations in force in The Gambia.

10. Intellectual Property Rights

You acknowledge that the Platform is protected by applicable copyrights, trademarks, trade secrets, patents, and other intellectual property laws. You may not copy, distribute, or modify the Platform, including any text, graphics, user interface design, or logos obtained from the Platform, except as explicitly authorized by us in writing.

11. Limitation of Liability

TIXGAMBIA IS NOT A PARTY TO ANY TRANSACTIONS, OTHER RELATIONSHIPS, OR DISPUTES BETWEEN YOU AND EVENT ATTENDEES. WE DO NOT PRE-SCREEN EVENT ATTENDEES AND ARE NOT RESPONSIBLE FOR ANY FRAUDULENT TRANSACTIONS BY EVENT ATTENDEES.

YOUR SOLE REMEDY FOR DISSATISFACTION WITH YOUR USE OF THE PLATFORM IS TO STOP USING THE PLATFORM. UNDER NO CIRCUMSTANCES WILL TIXGAMBIA BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

12. Disclaimer of Warranties

YOU ACKNOWLEDGE AND AGREE THAT THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TIXGAMBIA DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR NEEDS OR EXPECTATIONS, OR BE UNINTERRUPTED, SECURE, OR ERROR FREE. WE HAVE NO RESPONSIBILITY FOR ANY DAMAGE THAT MAY BE CAUSED TO YOU AS A RESULT OF USING THE PLATFORM.

13. Third Party Service Providers

In order for you to conveniently use the Platform, we may utilise the services of third-party service providers including but not limited to Wave, Cloudinary, and other payment and technology providers. TixGambia is not responsible for the services provided by third-party service providers nor their privacy policies or practices.

14. Termination

14.1 You acknowledge and agree that we may restrict, suspend, or terminate your access to the Platform at any time, with or without cause, including but not limited to any breach of the T&C without prior notice to you.

14.2 You have a right to withdraw from the Platform at any time by deleting your account or contacting us at hello@tixgambia.com.

15. Governing Law and Dispute Resolution

15.1 This T&C shall be governed by and construed in accordance with the laws of The Republic of The Gambia.

15.2 Any claim, controversy, or dispute arising out of or in connection with your use of the Platform shall be resolved by mutual consultation between you and TixGambia. Any dispute that cannot be resolved within 30 days shall be referred to arbitration in accordance with the applicable laws of The Gambia. The place of arbitration shall be Banjul, The Gambia and proceedings shall be conducted in English.
